Software: QuantumFlow Platform & CloudFlow Platform, including all associated modules, binaries, extensions, agents, APIs, services, and components.

1. License Grant
OyuAI grants you a limited, non-exclusive, non-transferable, revocable license to install and use QuantumFlow and CloudFlow ("the Software") solely for your personal or internal business purposes in accordance with this Agreement.
For purposes of this Agreement, "Software" includes QuantumFlow, CloudFlow, and all related or bundled components, modules, binaries, tools, plugins, extensions, agents, APIs, updates, and accompanying materials provided by OyuAI, including but not limited to QuantumFlow Dedupe, Layer8, SNMP, NCM, NPM, and related platform functionality.
Businesses and organizations may use the Software internally, but may not commercialize, resell, host, or provide the Software as a managed or SaaS offering without prior written consent from OyuAI.
If you enter into a separate written enterprise, commercial, subscription, services, support, or partner agreement with OyuAI, the terms of that agreement shall govern in the event of any conflict with this EULA.
2. Restrictions
Without prior written permission from OyuAI, you may not:
- Sell, resell, rent, lease, sublicense, or otherwise distribute the Software.
- Sell or provide paid services related to deployment, installation, configuration, support, or consulting for the Software.
- Embed, integrate, or include the Software within any other software, hardware, or service.
- Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software.
- Remove or obscure any proprietary notices, trademarks, or labels.
- Use the Software for unlawful purposes or to provide Software-as-a-Service (SaaS) offerings.
3. Ownership
QuantumFlow, CloudFlow, and all associated modules, binaries, components, platform services, software, documentation, dashboards, APIs, analytics, and intellectual property rights therein remain the sole and exclusive property of OyuAI.
This Agreement does not grant you any ownership interest in the Software or any related intellectual property.
4. Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN ENTERPRISE, COMMERCIAL, SUBSCRIPTION, SERVICES, SUPPORT, OR PARTNER AGREEMENT WITH OYUAI, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
FOR FREE, COMMUNITY, TRIAL, EVALUATION, OR NON-PAID USE, OYUAI DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT RESULTS, OUTPUTS, ALERTS, ANALYTICS, RECOMMENDATIONS, TOPOLOGY DATA, ANOMALY DETECTION, AI-GENERATED INSIGHTS, OR OTHER INFORMATION GENERATED THROUGH USE OF THE SOFTWARE WILL BE ACCURATE, COMPLETE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED.
CUSTOMER IS RESPONSIBLE FOR ITS OWN SECURITY, COMPLIANCE, OPERATIONAL, BACKUP, ACCESS CONTROL, INCIDENT RESPONSE, CHANGE MANAGEMENT, AND BUSINESS CONTINUITY PRACTICES WHEN USING THE SOFTWARE.
ANY WARRANTIES, SERVICE LEVELS, SUPPORT OBLIGATIONS, SECURITY COMMITMENTS, COMPLIANCE OBLIGATIONS, OR ADDITIONAL INDEMNITIES FOR PAID ENTERPRISE USE MUST BE EXPRESSLY SET FORTH IN A SEPARATE WRITTEN AGREEMENT SIGNED BY OYUAI.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OYUAI OR ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, CHANNEL PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, SECURITY INCIDENTS, NETWORK OUTAGES, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OYUAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED:
- (A) ONE HUNDRED U.S. DOLLARS (USD $100) FOR FREE, COMMUNITY, TRIAL, EVALUATION, OR NON-PAID USERS; OR
- (B) THE TOTAL AMOUNTS PAID BY CUSTOMER TO OYUAI UNDER AN APPLICABLE ENTERPRISE, COMMERCIAL, SUPPORT, OR SERVICES AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR OTHERWISE.
6. Termination
This Agreement is effective until terminated. OyuAI may terminate this Agreement immediately if you fail to comply with any term herein. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to its conflict of law provisions. You agree that any legal action shall be brought in the courts of Oregon.
8. Export Compliance
You agree to comply with all applicable export and re-export laws and regulations regarding use of the Software.
9. Indemnification
You agree to defend, indemnify, and hold harmless OyuAI and its affiliates, officers, employees, contractors, licensors, channel partners, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Software;
- Your violation of this Agreement;
- Your violation of applicable laws, regulations, or third-party rights;
- Data, content, traffic, telemetry, logs, or materials processed, transmitted, stored, or analyzed through the Software by you;
- Your configuration, deployment, monitoring, or operational use of the Software;
- Any claim that your use of the Software infringes, misappropriates, or violates the rights of a third party.
10. Entire Agreement
This Agreement constitutes the entire understanding between you and OyuAI regarding the Software and supersedes all prior agreements or understandings.
By using QuantumFlow or CloudFlow, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
